MEMORANDUM OF AGREEMENT



KNOW AL MEN BY THESE PRESENTS:

           This Agreement, made and entered by and among:

           WHEREAS, the above-named parties are all licensed real estate brokers/agents;

                     WHEREAS, they are all involved in the sale/purchase of a property described as ______________________________________________ which is now the subject of negotiation between buyer and seller;

           WHEREAS, in the event the sale/purchase is consummated, the brokers/agents will be entitled to a ___% broker's commission based on the agreed purchase price between seller and buyer.

           WHEREFORE, the parties herein (brokers/agents on the the buyer's side or on both sides), have agreed and stipulated as follows:
